IMPORTANT: THIS SOFTWARE END USER LICENSE AGREEMENT 
("EULA") IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN 
INDIVIDUAL OR AN ENTITY) AND SYNTEXT, INC. READ IT 
CAREFULLY BEFORE USING THE SOFTWARE. IT PROVIDES A 
LICENSE TO USE THE SOFTWARE AND CONTAINS WARRANTY 
INFORMATION AND LIABILITY DISCLAIMERS. BY USING THE 
SOFTWARE, YOU ARE CONFIRMING YOUR ACCEPTANCE OF THE 
SOFTWARE AND AGREEING TO BE BOUND BY THE TERMS OF
THIS AGREEMENT. IF YOU DO NOT AGREE TO BECOME BOUND 
BY THESE TERMS, THEN REMOVE THE SOFTWARE FROM YOUR 
COMPUTER.

1. License

The software and data accompanying this EULA and related documentation
(the "Software") are licensed (not sold) to you by Syntext, Inc in
accordance with the terms of this EULA. Syntext, Inc does not transfer
title of the Software to you; this EULA shall not be considered a
"sale" of the Software. This nonexclusive, nontransferable, without
rights to sublicense EULA gives you the right to use this copy of the
Software.

The term "Number of Licensed Users" means the Number of Licensed Users
set forth on the License Certificate authorized by Syntext, Inc that
you received with this software.

You may not make a number of copies of the Software more than the
Number of Licensed Users. You may install a single copy of the Software
on an unlimited number of computers, each of which is running a validly
licensed copy of the operating system for which the Software is designed,
provided that only the licensed designated individual user uses the Software.

If you are an entity, each copy of the Software may be used by one
designated individual user only. The total number of designated users
may not exceed the Number of Licensed Users. Each copy of the Software
may not be used by any other person, whether or not such person is
employed by or otherwise associated with your entity.

You may not transfer this Software to or store the Software in any
electronic network, including but not limited to intranets or the
World Wide Web, for use by more than the Number of Licensed Users.

2. Restrictions

a) You may not alter, merge, modify, adapt or translate the Software,
   or decompile, reverse engineer, disassemble, or otherwise reduce the
   Software to a human-perceivable form except for the case c) of 
   this section.
b) You may not sell, rent, lease, or sublicense the Software.
c) You may not modify the Software, except for its pieces that
   documentation explicitly mentions to be subject to customization or 
   modification.
d) You may not develop products using the public Application Programming Interface (API) of
   the Software for any commercial and company use, except for the purpose of testing and
   demonstration. In order to use the API, you must have a Serna Software Development Kit 
   license.
e) You may not develop and/or distribute any software with intent to
   pass on the Software Application Programming Interface (API)
   functionality to any and all programming languages, including, but not
   limited to Python, Perl, Java, JavaScript, Tcl, C#, and Visual Basic,
   without explicit written permission by Syntext, Inc. 

3. Ownership

The foregoing license gives you limited license to use the
Software. Syntext, Inc and its suppliers retain all right, title and
interest, including all copyright and intellectual property rights, in
and to, the Software and all copies thereof. All rights not
specifically granted in this EULA, including Federal and International
Copyrights, are reserved by Syntext, Inc and its suppliers.

4. Term

If the Software that was distributed to you was labeled as EVALUATION,
TRIAL or its functional equivalent ("Trial Version"), the license
granted under this EULA commences upon the installation of the
Software and is effective for the trial days, informed with the
Software, following the date you install the Software (the "Trial
Term"). Trial Version Software may include software functionality
intended to disable its operation after the expiration of the Trial
Term. You may take no actions to circumvent the operation of such
disabling functionality, and you accept all risks that might arise
from such actions. If the Software was not distributed as a Trial
Version, or if you converted a Trial Version installation of the
Software to a non-Trial Version with legally acquired License
Certificate authorized by Syntext, Inc, the license granted under this
EULA commences upon License Certificate issue date and is effective in
perpetuity unless terminated per the terms of this Agreement.

5. Termination

This EULA is effective until terminated by either party according to
the following conditions. Upon the expiration of the Trial Term (if
any), your rights under this EULA terminate automatically without
notice from Syntext, Inc. Without prejudice to any other rights,
Syntext, Inc may terminate this EULA or your rights under this EULA at
any time if you fail to comply with the terms and conditions of this
EULA. Upon termination of your rights under this EULA for any reason,
or upon termination of the EULA itself, you must destroy all and
copies and installations of the Software. You may terminate this EULA
at any time by destroying the Software, and all related documentation,
and all copies, and installations thereof, whether made under the
terms of this EULA or otherwise.

The rights and obligations of the parties set forth in Sections
"Limitation of Liability" shall survive termination or expiration of
this EULA for any reason.

6. Third Party Software

The Software may contain third party software which requires notices and/or
additional terms and conditions. Such required third party software notices
and/or additional terms and conditions are located at our website at 
http://syntext.com/downloads/serna/third-party-licenses-included-in-serna-eula.html
and are made a part of and incorporated by reference into this EULA. By accepting
this EULA, you are also accepting the additional terms and conditions, if any, set
forth therein.

7. Limitation of Liability 

THIS SOFTWARE IS PROVIDED "AS IS" AND ANY EXPRESSED OR IMPLIED
WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE
DISCLAIMED. IN NO EVENT SHALL SYNTEXT, INC BE LIABLE FOR ANY DIRECT,
INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
(INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR
SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION)
HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT,
STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING
IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE
POSSIBILITY OF SUCH DAMAGE.

8. Maintenance and Support

As part of your Software License purchase, Syntext provides support for
a year via email only. You can renew your support each year by purchasing it.

Your Software License purchase excludes training, learning, and education services,
and technical support for source code modified by you or a third party.

THIS SYNTEXT END-USER LICENSE AGREEMENT FOR SERNA FREE EDITION ("EULA") GOVERNS
YOUR RIGHTS TO USE THIS SOFTWARE OR ITS DERIVATIVE WORKS (INCLUDING WITHOUT
LIMITATION ANY DOWNLOAD, INSTALLING, RUNNING, USING, VIEWING SOURCE CODE,
MODIFYING, COPYING). THESE ACTIONS ARE PROHIBITED BY LAW IF YOU DO NOT ACCEPT
THIS EULA. THEREFORE, BY USING ANY PART OF THIS SOFTWARE (OR ANY WORK BASED ON
THIS SOFTWARE), YOU INDICATE YOUR ACCEPTANCE OF THIS EULA, AND ALL ITS TERMS AND
CONDITIONS, AS WELL AS THE SYNTEXT PRIVACY POLICY.

IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, SYNTEXT IS UNWILLING TO
LICENSE THE SOFTWARE TO YOU, AND YOU SHOULD DESTROY ALL COPIES YOU HOLD OF
SYNTEXT SOFTWARE AND DERIVATIVE WORKS IMMEDIATELY.

Hereinafter "Software" means the generally available version of the Serna Free 
Edition, and any parts thereof, available from the Syntext web site or its 
associate web sites, together with all upgrades and enhancements provided to 
you. 

This EULA is a legal document between you and Syntext, Inc. ("Syntext"). It is
important that you read this document before using the Syntext-provided Software
and any accompanying documentation, including without limitation printed
materials, "online" files, or electronic documentation ("Documentation").

This EULA only gives you some rights to use the Software. Syntext reserves all
other rights. You may use the Software only as expressly permitted in this EULA.

This EULA may be amended only by a writing signed by both parties.

License Grant 

Upon your acceptance of this EULA, Syntext freely grants you a personal
non-exclusive, non-transferable, limited license to use the Software on your
computer for personal or business purposes.

In case of this free version, the Software is not subject to any guarantees, and
you have no right to any technical support whatsoever. 

Title

Syntext and its suppliers retain all right, title and interest, including all
copyright and intellectual property rights in and to the Software and all copies
thereof. All rights not specifically granted in this EULA are reserved by
Syntext. 

As between you and Syntext, documents, files, stylesheets, program code and
schemas that are authored or created by you via your utilization of the
Software, in accordance with its Documentation and the terms of this EULA, are
your property. 

Reverse Engineering

You may not reverse engineer, decompile, disassemble or otherwise attempt to
discover the source code, underlying ideas, underlying user interface techniques
or algorithms of the Software by any means whatsoever, directly or indirectly,
except for the cases explicitly provided in the Documentation.

Permitted Use 

You may install copies of the Licensed Software on an unlimited number of
computers provided that only the licensed user uses the Software.

Restrictions On Use 

You shall not modify the Software in any way unless for "private use" intended
for the purpose of testing and demonstration.

You shall not work around, deactivate, disable, or make unworkable any of the
limitations placed into the Software.

You shall not brand the Software as your own or declare your own copyright on
the Software. 

You may not resell, rent, lease, or sublicense all or any portion of the
Software to third parties.

You shall not modify, delete or obscure any copyright notices, notices of
proprietary rights, adverts, labels, any Software identification or restrictions
that appear on or in the Software and in the source code of each file. 

You are not authorized to integrate or use the Software with any other software
or to programmatically interface with the Software for the purpose of (i)
enabling additional functionality normally not available in the Software, (ii)
providing functionality that competes with other Syntext products. 

The Software may insert markers and/or copyright notices into the works created
or edited by you via utilization of the Software. 

Intellectual Property

You acknowledge that the Software and any copies that you are authorized by
Syntext to make are the intellectual property of and are owned by Syntext and
its suppliers. The structure, organization and code of the Software are the
valuable trade secrets and confidential information of Syntext and its
suppliers. The Software is protected by copyright, including without limitation
by United States Copyright Law, international treaty provisions and applicable
laws in the country in which it is being used.

You acknowledge that Syntext retains the ownership of all patents, copyrights,
trade secrets, trademarks and other intellectual property rights pertaining to
the software, and that Syntext's ownership rights extend to any images,
photographs, animations, videos, audio, music, text and "applets" incorporated
into the Software and all accompanying printed materials, except for the 3rd
party software portions available in the Software distributions that are
licensed otherwise. You will take no actions which adversely affect Syntext's
intellectual property rights in the Software. 

Trademarks shall be used in accordance with accepted trademark practice,
including identification of trademark owners' names. Trademarks may only be used
to identify printed output produced by the Software, and such use of any
trademark does not give you any right of ownership in that trademark.

Syntext, the Syntext logo, Syntext Serna, the Syntext Serna logo, and other
Syntext logos and product and service names are trademarks of Syntext. Other
company names, logos, service names and product names are trademarks or
registered trademarks of their respective owners.

Termination 

Without prejudice to any other rights, Syntext may terminate this EULA if you
breach any of its terms and conditions. Upon termination, you shall destroy the
Software, any and all copies, modifications, or merged portions in any form. 

The rights and obligations of the parties set forth in Section "Limitation of
Liability" shall survive termination or expiration of this EULA for any reason.

WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED TO YOU FREE OF CHARGE AND ON AN "AS-IS" BASIS. SYNTEXT
PROVIDES NO WARRANTIES FOR THE SOFTWARE. TO THE MAXIMUM EXTENT PERMITTED BY LAW,
SYNTEXT DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED
OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF FITNESS FOR
A PARTICULAR PURPOSE, MERCHANTABILITY, SATISFACTORY QUALITY, INFORMATIONAL
CONTENT, OR ACCURACY, TITLE, AND NON- INFRINGEMENT. SYNTEXT DOES NOT WARRANT
THAT THE SOFTWARE IS ERROR-FREE OR WILL OPERATE WITHOUT INTERRUPTION. SOME
STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION
MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY
ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO STATE. YOU AGREE THAT YOU
ARE SOLELY RESPONSIBLE FOR THE ACCURACY AND ADEQUACY OF THE SOFTWARE FOR YOUR
INTENDED USE AND YOU WILL INDEMNIFY AND HOLD HARMLESS SYNTEXT FROM ANY 3RD PARTY
SUIT TO THE EXTENT BASED UPON THE ACCURACY AND ADEQUACY OF THE SOFTWARE IN YOUR
USE. 

HIGH RISK ACTIVITIES 

WITHOUT LIMITATION, THE SOFTWARE IS NOT INTENDED FOR USE IN HAZARDOUS
ENVIRONMENTS REQUIRING FAIL-SAFE CONTROLS, INCLUDING WITHOUT LIMITATION THE
OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION, COMMUNICATION SYSTEMS, AIR
TRAFFIC CONTROL, LIFE SUPPORT, OR WEAPONS SYSTEMS, WHERE THE FAILURE OF THE
SOFTWARE COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR
ENVIRONMENTAL DAMAGE ("HIGH RISK ACTIVITIES"). ACCORDINGLY, SYNTEXT AND ITS
SUPPLIERS SPECIFICALLY DISCLAIM ANY EXPRESS OR IMPLIED WARRANTY OF FITNESS FOR
HIGH RISK ACTIVITIES. YOU AGREE THAT SYNTEXT AND ITS SUPPLIERS WILL NOT BE
LIABLE FOR ANY CLAIMS OR DAMAGES ARISING FROM THE USE OF THE SOFTWARE IN SUCH
APPLICATIONS. 

LIMITATION OF LIABILITY 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYNTEXT OR
ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL
DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, INCLUDING
WITHOUT LIMITATION DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE
OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF
ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF THE LEGAL OR EQUITABLE
THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. SOME
JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR
CONSEQUENTIAL DAMAGES, SO THIS EXCLUSION AND LIMITATION MAY NOT BE APPLICABLE.
SYNTEXT IS NOT RESPONSIBLE FOR ANY LIABILITY ARISING OUT OF CONTENT PROVIDED BY
YOU OR A THIRD PARTY THAT IS ACCESSED THROUGH THE PRODUCT AND/OR ANY MATERIAL
LINKED THROUGH SUCH CONTENT. 

Third Party Software

The Software may contain third party software which requires notices and/or
additional terms and conditions. Such required third party software notices
and/or additional terms and conditions are located at our website at

and are made a part of and incorporated by reference into this EULA. By accepting
this EULA, you are also accepting the additional terms and conditions, if any, set
forth therein.

Maintenance and Support

Syntext provides no technical support for the free version of the Software.

Miscellaneous

Syntext reserves the right to change the terms of this EULA at any time. Changes 
to the EULA will be announced on the Syntext web site. Failure to receive 
notification of a change does not make those changes invalid. A current copy of 
this EULA will be available on the Syntext web site.

Syntext reserves the right to change the use of, cancel, or suspend the free or 
demonstration editions of its Software at any time and without notice. 

Entire Agreement 

This EULA together with any documents expressly referred to in it contains the 
entire license agreement between you and Syntext relating to the subject matter 
covered and supersedes any previous EULA, arrangements, undertakings or 
proposals, written or oral, between you and Syntext in relation to such matters. 
No oral explanation or oral information given by any party shall alter the 
interpretation of this EULA. In agreeing to this EULA, you have not relied on 
any representation other than those expressly stated in these terms and 
conditions and you agree that you shall have no remedy in respect of any 
misrepresentation which has not been made expressly in this EULA.
